Your access to and use of the Service and Site is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service or Site. By accessing or using the Service or Site you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service or Site.
General Conditions
Subject to the terms and conditions of this TOS, you may access and use the Service only for your internal business purposes. You shall not allow any unauthorized user to access or use the Service. You shall not (a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the Service available to any third party, other than as expressly permitted by this TOS; (b) copy, modify or distribute any portion of the Service; (c) use the Service to process data on behalf of any third party; or (d) use the Service in any unlawful manner or in any manner that interferes with or disrupts the integrity or performance of the Service and its components.
Subject only to the limited right to access and use the Service expressly granted to you under this TOS, all rights, title and interest in and to the Service and its components will remain with and belong exclusively to Core 7 Technologies Inc. You shall not modify, adapt or hack the Service to falsely imply any sponsorship or association with us, or otherwise attempt to gain unauthorized access to the Service or its related systems or networks.
You are responsible for all information, data, text, messages or other materials that you post or otherwise transmit via the Service (“Content”). You will not send bulk unsolicited email through the Service. You are responsible for maintaining the confidentiality of your login and account and are fully responsible for any and all activities that occur under your login or account. You agree and acknowledge that your login may only be used by one (1) person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows. Core 7 Technologies Inc. reserves the right to access any or all your accounts in order to respond to your requests for technical support.
The failure of Core 7 Technologies Inc. to exercise or enforce any right or provision of this TOS shall not be a waiver of that right. You acknowledge that this TOS is a contract between you and us, even though it is electronic and is not physically signed by you and us, and it governs your use of the Service and takes the place of any prior agreements between you and us.
As between Core 7 Technologies Inc. and you, the Service and Content (except your Content) and all intellectual property rights therein are the exclusive property of Officetrax or its licensors. You or your licensors own all intellectual property rights in your Content. Each party reserves all rights not expressly granted to the other party under this TOS or the Agreement.
Termination
Users are responsible for properly cancelling accounts. The account owner can cancel the account at any time as long as it is within agreement with any contracts they have signed and agreed to. Account owners are able to cancel their account by providing us written notice, either my email or mailed to our office. There are no other means of cancelling accounts. All of the account Content will be deleted from the Service within ninety (90) days upon cancellation. This information cannot be recovered once your account is cancelled.
Officetrax reserves the right to (i) modify or discontinue, temporarily or permanently, the Service (or any part thereof) and (ii) refuse any and all current and future use of the Service, suspend or terminate any account (any part thereof) or use of the Service and remove and discard any of your content in the Service, for any reason, including, if Officetrax believes that You have violated this TOS. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of the use of Service, may be referred to appropriate law enforcement authorities. Officetrax shall not be liable to the user or any third party for any modification, suspension or discontinuation of the Service.
Warranties
Our obligations with respect to our products and services are governed solely by the agreements under which they are provided. The Service, if obtained without an agreement or contract, including the Site and content and all server and network components, are provided "AS-IS" and “AS AVAILABLE” with no warranties whatsoever, express or implied to the fullest extent permitted by law, and your use of that product or service is at your own risk. You acknowledge that we do not warrant that the service will be uninterrupted, timely, or error-free and no information or advice obtained by you from Core 7 Technologies or through the Service shall create any warranty not expressly stated in this TOS or a contract.
Limitation of Liability
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL CORE 7 TECHNOLOGIES INC. BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA OR BUSINESS INTERRUPTION.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to some users. IN THESE STATES, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
Information we publish on the World Wide Web may contain references or cross references to our products, programs and services that are not announced or available in your country. Such references do not imply that we intend to announce such products, programs or services in your country. Consult your local Officetrax business contact for information regarding the products, programs and services which may be available to you.

Our Service or Site may contain links to 3rd party websites or services that are not owned or controlled by Core 7 Technologies Inc.
We have no control over, and assume no responsibility for the content, privacy policies, or practices of any 3rd party websites or services. You further acknowledge and agree that Officetrax and Core 7 Technologies Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services. By inserting links to these sites or services, it is understood that we do not endorse the content or any such website or service.

Changes
Information may be changed or updated without notice. Core 7 Technologies may also make improvements and/or changes in the Services or Site at any time without notice. We will try to provide at least 30 days’ notice prior to any new terms taking effect.
Governing Law
This TOS shall be governed by the laws of the Province of Ontario without regard to the principles of conflict of laws. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
